Reliance Global buys GPU cloud Oblivus for $3M to enter AI infrastructure

What's the deal? Reliance Global GroupDealroom has a profile for this one. Try Dealroom → (Nasdaq: EZRA) has completed its all-cash acquisition of the assets of Oblivus, a GPU cloud provider and marketplace operator, for $3 million. The deal, which closed on November 3, 2026, marks the insurance-focused company's entry into the AI cloud and infrastructure market.

The terms: Beyond the $3 million paid at closing, Reliance will pay up to $750,000 more tied to revenue milestones over the next 12 months, with $375,000 deposited into escrow. It funded the purchase from cash on hand and issued no stock, leaving it debt-free.

The acquisition ran through GPU Exchange Corp., a new wholly owned subsidiary. Reliance plans to adopt GPU Exchange as its doing-business-as name and change its Nasdaq ticker from EZRA to XGPU.

What Oblivus does: It gives developers and businesses on-demand access to GPU computing for AI training and inference. Its proprietary marketplace connects customers with available capacity and lets third-party hardware owners earn rental revenue.

The numbers: Oblivus generated roughly $1.5 million in revenue in the 12 months to September 2026, based on the seller's unaudited records. Reliance is targeting growth from that base through added capacity, new customers, and platform investment.

What's the endgame? Reliance wants an established, revenue-generating foothold in AI infrastructure. "Oblivus gives us an established, revenue-generating platform to build on," said chairman and chief executive officer Ezra Beyman. "We intend to grow this business dramatically."

What could go wrong? At $1.5 million in revenue, this is a small foothold rather than a major infrastructure play, and scaling depends on adding GPU capacity and customers. Specialist GPU providers also face a potential shakeout as financing costs rise.

The signal: The move comes amid heavy investment in GPU clouds, from NexGen Cloud's $106 million loan for 1,728 GPUs to far larger commitments by firms such as NaverDealroom has a profile for this one. Try Dealroom →. Reliance's debt-free, all-cash entry avoids dilution — but it does not remove the challenge of competing and funding expansion.
