Axiom raises $2B at $37.5B as it spins out of Flex with a debt clock ticking

What's the deal? AxiomDealroom has a profile for this one. Try Dealroom →, the Cloud and Power Infrastructure business set to spin off from contract manufacturer FlexDealroom has a profile for this one. Try Dealroom → in the first quarter of 2027, has lined up a $2 billion growth-equity investment led by General Catalyst and Koch Equity DevelopmentDealroom has a profile for this one. Try Dealroom →. The deal, signed October 2, values the new company at an initial $37.5 billion enterprise value.

Who's running it? Flex told investors on October 29 who leads each half. Revathi Advaithi, Flex's chief executive, is expected to run Axiom; Michael Hartung becomes chief executive of the remaining Flex, with Amy Schwetz as chief financial officer.

Why now? Axiom is the growth engine. Its revenue rose 54% year over year to $2.5 billion last quarter at a 10.7% adjusted operating margin, driven by AI data-center demand, while the businesses staying with Flex grew 16%. Management expects the segment to grow 75–85% this fiscal year.

The debt clock: Flex closed its roughly $4.4 billion cash purchase of EPC PowerDealroom has a profile for this one. Try Dealroom → on October 14, funding it with a $3.3 billion term loan and a $1.1 billion bridge loan. Both mature October 13, 2027, and are expected to transfer to Axiom with the spin-off.

What's the relief? The $2 billion preferred placement would cut those loans if it funds before separation. Until then, Flex's finance chief Kevin Krumm expects elevated interest expense. The preferred pays a 10% annual cash dividend before the spin, stepping to 6% in cash or 7% paid in kind afterward.

The numbers: Flex posted second-quarter net sales of $8.5 billion, up 25%, with net income of $263 million against $199 million a year earlier. It raised its fiscal 2027 revenue outlook to between $34.9 billion and $35.9 billion.

What could go wrong? Flex gave an irrevocable guarantee to redeem the $2 billion in Axiom preferred stock if the spin-off is not finalised by December 31, 2027 — at a 15% premium in cash or 25% in shares. One customer already took 14% of second-quarter net sales, most of it in the segment leaving.

The signal: The round creates another AI-infrastructure pure play at a premium valuation, but the structure makes execution and timing — not just the growth story — central. With $4.4 billion in one-year debt riding on the separation, Axiom's spin-off is a deadline as much as a deal.
