The all-stock deal gives ACG 100% of the unit, which includes the construction-stage Nussir copper mine and other development interests. Completion remains subject to approvals.

What's the endgame? ACG wants to grow from a single-asset operator into a broader copper producer. Nussir, targeting first concentrate in the first half of 2028, would become its second major copper-development asset alongside Gediktepe in Türkiye, where it produced first copper concentrate in August.

Why now? ACG approached Blue Moon unsolicited. "ACG's unsolicited approach has offered a compelling transaction which immediately recognizes value for our Norwegian assets," said Christian Kargl-Simard, Blue Moon's chief executive officer, adding the deal lets shareholders "participate in future ACG growth."

What changes? Because the price is paid in equity, Blue Moon keeps exposure to the Norwegian assets through a stake rather than banking cash. What's next for Blue Moon? The sale repositions the company around its four US critical-minerals mines, with the Springer and Apex mines targeted for production by the end of 2027. What could go wrong? Nussir is still at the construction stage, carrying execution and financing risk before any production. As shareholders rather than cash recipients, Blue Moon's investors remain tied to ACG's ability to deliver.

The signal: The deal reflects consolidation in copper, a metal central to electrification. "We also especially welcome Blue Moon shareholders to our register and to the fast-growing copper company with a vision to consolidate the sector," said Artem Volynets, ACG's chairman and chief executive officer.
