Tokenization veteran tZERO to go public at $350M via SPAC merger

What's the deal? Tokenization infrastructure firm tZERO will go public through a merger with FG Imperii Acquisition Corp.Dealroom has a profile for this one. Try Dealroom → (Nasdaq: FGII), a special purpose acquisition company. The deal, announced November 2, values tZERO at a pre-money equity valuation of $350 million, including $25 million tied to specific milestones.

The combined company plans to list on NYSE American in early 2027 under the ticker TZRO, subject to shareholder and regulatory approvals. Existing tZERO shareholders are expected to roll 100% of their equity into the combined company.

What's the endgame? tZERO, operating since 2014, provides regulated infrastructure-as-a-service for tokenized securities, derivatives, and other digital assets. Chief executive officer Alan Konevsky, who is expected to stay on, said the deal "unlocks growth paths and strengthens our ability to scale market infrastructure required for an increasingly tokenized financial system."

The company could receive up to roughly $231 million from FG Imperii's trust account — though the final figure depends on shareholder redemptions and transaction expenses.

Why now? Tokenization is moving beyond pilots. Major firms are expanding tokenized funds, while DTCC and Nasdaq advance regulated routes for tokenized securities. In October, Temple Digital GroupDealroom has a profile for this one. Try Dealroom → selected tZERO to provide regulated broker-dealer and alternative-trading-system services for a tokenized-securities platform.

Who's backing it? Neighborhood Intelligence (Nasdaq: NXH), previously Bed Bath & BeyondDealroom has a profile for this one. Try Dealroom →, holds about 38% of tZERO and has agreed to support the deal. "We believe this transaction represents an important next step for tZERO and its future growth," said Marcus Lemonis, its executive chairman and chief executive officer.

What could go wrong? Closing is targeted for early 2027 but is not assured. Heavy shareholder redemptions could shrink the cash tZERO walks away with, and the deal still needs approval from both sets of shareholders and regulators.

The signal: A public listing would give investors a direct way to back tokenization infrastructure. But the headline valuation and potential trust proceeds don't by themselves prove durable demand or liquidity for tZERO's services.
