Stonepeak closes $10.1B Castrol buyout, triggering India open offer
What's the deal? Motion JVCo Limited, an entity tied to Stonepeak Infrastructure Fund V, has acquired 100% of Castrol Group Holdings Limited, shifting ultimate control of listed Castrol IndiaDealroom has a profile for this one. Try Dealroom →. The transaction closed on October 30, 2026, under a sale and purchase agreement dated December 23, 2025.
How the chain works: Castrol Group Holdings fully owns Castrol Limited, which is the promoter of Castrol India, holding 504,452,416 shares, or 51% of its equity. That stake gives Motion JVCo indirect sole control over the Indian lubricants business.
What about BP? BP, the previous owner, now holds a non-controlling position. Its subsidiary BP Motion Holdings Limited received shares equal to 35% of Motion JVCo's equity, leaving BP a minority investor alongside Stonepeak's majority control. CPP Investments is an indirect minority investor.
Why now? The move completes BP's December 2025 sale of a 65% stake in its global Castrol business to Stonepeak at an enterprise value of about $10.1 billion. The India filing reflects that completed ownership transition flowing down to the listed subsidiary.
What changes for shareholders? The shift in ultimate control supports a mandatory open offer for up to 26% of Castrol India's public shares at US$2.64 each. It does not, by itself, signal an operational restructuring or delisting.
The signal: Infrastructure capital is moving deeper into legacy energy assets, with Stonepeak taking the wheel at a global lubricants brand while BP retains a stake. For Castrol India, the day-to-day business continues unchanged; what shifts is who ultimately holds the keys.
