Olin targets Q1 2027 close for $12B Huntsman merger

What's the deal? OlinDealroom has a profile for this one. Try Dealroom → told investors on its third-quarter earnings call that it now expects to close its all-stock merger of equals with Huntsman in the first quarter of 2027. The combination would create a chemicals company with more than $12 billion in enterprise value.

Why the delay? Both shareholder groups have approved the deal and the US antitrust waiting period has expired, but regulatory reviews remain open in Europe, China, and other regions. Management pushed the expected closing from earlier timelines to the first quarter of 2027 while clearance proceeds.

What's the endgame? The companies are targeting more than $400 million in cost and integration benefits. President and chief executive officer Ken Lane said he has a "very high level of confidence" in $300 million tied to fixed-cost, overhead, and efficiency opportunities; the remaining $100 million is linked to chlorine supply and is expected to begin in 2030.

What else is happening? Olin said it has arranged new credit support for the combined company and has stepped up permitted integration planning. Lane said it is designing the combined organisation around industry benchmarks, with a focus on lean operations, accountability, and incentives tied to results.

Following completion, the combined company is expected to trade under the ticker symbol OHN.

The signal: With shareholder votes and US antitrust cleared, execution and overseas regulatory approval—not a fresh transaction—are now the decisive factors. The deal reflects continued consolidation among chemicals producers chasing scale and synergy-driven cost savings.
