Gain Plus raises $3.85M to push beyond pharma into electronic modules

What's the deal? Gain Plus HoldingsDealroom has a profile for this one. Try Dealroom → (00858) said on October 30, 2026, that it will raise about US$3.65M (roughly $3.85 million) through a placement of new shares under a general mandate. It is issuing 580,000,000 shares at US$0.01 each, with USmart Securities acting as placing agent.

The terms: The placing price marks a premium of about 2% to the previous close of US$0.01 and about 5.3% to the five-day average. The new shares equal about 20% of existing issued capital, or 16.7% of the enlarged base. Net proceeds come to roughly US$3.55M after costs.

What's the endgame? Gain Plus mainly develops, makes, and sells pharmaceutical products, and distributes imported medicines to mainland Chinese customers. It now wants to build an electronic-module business. About US$1.18M of proceeds will expand its electronic-module trading, while roughly US$2.37M will fund the start of module manufacturing, sales, and R&D, plus general corporate use.

Why now? The deal runs under a general mandate from shareholders and is expected to close within five business days of conditions being met, on or around November 13, 2026.

The signal: The sum is small — it sits near the bottom of comparable rounds — and dwarfed by Hong Kong's broader electronics financing wave, where Reuters reported five technology and manufacturing firms sought up to US$5.33B in June 2026 listings. For Gain Plus, the story is strategic, not financial: whether a pharma company can turn a modest raise into a credible electronics business.
