FOXO Technologies strikes deal for voting control of mRNA diagnostics firm Ludwig

What's the deal? FOXO Technologies has agreed to acquire preferred stock carrying a majority of the voting power in Ludwig Enterprises, a Nevada-based developer of mRNA genomic diagnostics. The deal, signed October 25, 2026, has not closed and carries an undisclosed price.

What each side brings: FOXO (OTC: FOXO) runs four healthcare subsidiaries, spanning a critical-access hospital, a behavioral health facility, biospecimen sourcing, and a biotech lab. Ludwig (LUDG) is developing Revealia, a non-invasive cheek-swab platform designed to detect genetic biomarkers of inflammation and related chronic diseases.

Why now? The move extends an acquisition-led expansion. FOXO recently added biospecimen business Vector BioSourceDealroom has a profile for this one. Try Dealroom → and announced a separate deal for four blood-collection centers, all while pursuing new financing and an exchange listing after its NYSE American shares were suspended and moved to OTC trading.

What's the endgame? "We believe the proposed transactions with Ludwig will complement our existing healthcare businesses," said chief executive officer Seamus Lagan. If the deal closes, FOXO expects to evaluate how to structure and support Ludwig's continued development and launch of Revealia.

What could go wrong? The agreement hangs on multiple conditions, including FOXO securing a Nasdaq listing and satisfactory financing. Sellers can terminate if the listing and related public offering are not completed within 120 days of signing.

Revealia adds further risk: it remains uncommercialized and lacks US Food and Drug Administration clearance or approval. Until closing, the selling stockholders keep their preferred shares but have granted FOXO irrevocable proxies to vote them.

The signal: This is an early-stage bet, not an established earnings driver. For FOXO, the deal's completion — and its ability to fund an expanding portfolio — matters more than the headline voting stake itself.
