Strategy raises $58.7M in stock sales as MSCI index exit looms

What's the deal? Strategy raised about $58.7 million in net proceeds from at-the-market stock offerings between October 1 and 23, a post-IPO equity raise disclosed as its eligibility for MSCI's global benchmarks comes under review. The company held 848,517 Bitcoin as of October 25.

Why now? MSCI adopted new rules on October 15 for companies it classifies as non-operating. Its final list of potentially affected firms is due November 11, with any index changes taking effect at the close of November 30.

What's the endgame? Strategy funds its Bitcoin treasury largely by selling shares. In the week ended October 18, it sold 140,872 shares for $22 million and used those proceeds to buy 267 Bitcoin at an average of $82,900 per coin.

The raise is modest next to the company's recent offerings — it pulled in $466.7 million through stock sales in a single week in July. Its approach is also shifting: in the week ended October 25, Strategy made no Bitcoin purchases and instead spent about $205 million repurchasing preferred shares.

What could go wrong? If MSCI removes Strategy, index-tracking funds could cut their holdings, weakening demand for MSTR and making equity issuance a less reliable funding channel. Strategy estimates that MSCI-linked funds hold about 13 million MSTR shares — 3.1% of its basic shares and roughly 60% of its 30-day average daily volume.

Strategy disputes the framework. It argues MSCI's "operating" and "non-operating" labels lack a basis in US generally accepted accounting principles, international financial reporting standards, or any recognised legal framework, and describes its Bitcoin business as an operating segment under US GAAP.

The signal: The amount itself is a footnote; the story is Strategy's dependence on equity markets just as that source of demand faces scrutiny.
