What each side brings: Founded in 2014 and based in Richardson, Texas, Apex runs five MGAs — Apollo MGA, Apollo Specialty, Newstar General Agency, Excellent Insurance Services, and Ignition Insurance Services. It distributes through more than 1,000 independent-agent contracts across roughly 2,500 retail locations statewide. Rainier manages over $400 million in assets and invests in lower middle-market services businesses.

What's the endgame? Apex plans to keep growing organically in Texas and potentially new states, pursue strategic M&A, and explore adjacent product categories. The platform is already courting other personal-lines MGAs as acquisition targets.

Why now? "We've built an enduring and diversified insurance platform at Apex, and we see significant runway for further expansion in the state of Texas and beyond," said Apex chief executive officer Bryan Ward. Rainier principal Luke Bench pointed to "considerable opportunity" to expand Apex's reach "while retaining the company's long-standing capacity and distribution partnerships."

The signal: The deal fits a broader push by private-equity-backed insurance distributors to build scale through acquisitions, following moves such as BharCapDealroom has a profile for this one.
