ALT raises $9.12M in zero-coupon convertible bonds to refinance debt

What's the deal? South Korea's ALT Co.Dealroom has a profile for this one. Try Dealroom → will raise US$10.2M through a private placement of zero-coupon convertible bonds, the KOSDAQ-listed company said. The transaction, approved by its board, is expected to close on November 6, 2026.

Who's in? Axis Focus New Technology Business Investment Fund No.1 is the largest participant at US$3.94M. Walnut KOSDAQ Venture General Private Investment Trust No. 5 and No. 6 each put in US$838.4K, and Beyond KOSDAQ Venture General Private Investment Trust No. 1 added US$209.6K.

Why now? The proceeds are earmarked for refinancing, not growth. ALT says it will use the money to repay part of the US$11.7M still outstanding from a 2024 bond issue.

The fine print: The bonds carry a 0% coupon and convert into 791,693 common shares at US$12.9 each — equal to about 8.12% of current equity. Conversion is restricted for the first year, and investors can seek early repayment from 2029.

What could go wrong? ALT's financials have weakened. Q2 2026 revenue fell 69.8% year on year to US$6.96M, and the company posted an operating loss of US$375.6K. It repurchased and cancelled US$5.03M of the earlier bond in September 2026, trimming potential dilution.

The signal: This is a debt-management move, not an expansion play. For a company facing sharp revenue declines, swapping old debt for zero-coupon convertibles buys breathing room — at the cost of possible future dilution.
