Baywood buys 1941-founded machine shop in deal built around $2.5M cash target
What's the deal? IAG M&A Advisors has closed the sale of J.B. Anderson & Son, Inc. to regional private equity firm Baywood Holdings, the advisory firm said October 28, 2026. The price was undisclosed. Founded in 1941 and based in Tidioute, Pennsylvania, J.B. Anderson makes MODION ion pumps, vacuum technologies, and custom mechanical assemblies.
What's the endgame? The acquisition feeds Baywood's buy-and-build strategy to consolidate precision machine shops across Pennsylvania. The deal closed after a 10-month marketing process led by IAG senior advisor Kris Quistgard.
Why the structure matters: The deal ran into financing friction. Preliminary valuations pegged a baseline of $1.2 million, lenders capped debt at $1.8 million, and the seller wanted a cash-equivalent liquidation value of $2.5 million without accepting seller-backed notes.
To bridge the gap, IAG used a milestone product contract and a CNC machinery capital lease executed by the seller to show the buy-side committee real-time scaling. The final structure blended a $1.8 million commercial tier, $200,000 in liquid capital at close, and a $500,000 consulting agreement and earn-out decoupled from the bank leverage.
What's next? Baywood is expected to fold J.B. Anderson into its broader manufacturing consolidation push, potentially as a platform for further precision machining deals.
IAG framed the transaction as a case study in protecting lower-middle-market sellers when underwriting rules miss future performance. "When strict underwriting guidelines fail to reflect forward-looking performance, our role is to construct a compliant, alternative mechanism that captures that latent value for the owner," said chief executive officer Jason Hullender.
The signal: The deal fits a broader 2026 rebound in building-products and construction M&A, where strategic buyers are active after a softer 2025.
