KOIL Energy raises $5.6M to grow subsea rental fleet after Q3 revenue jump
What's the deal? KOIL Energy Solutions has agreed to raise $5.6 million in gross proceeds through a private investment in public equity (PIPE), the deepwater equipment and services specialist said on October 28. Lucid CapitalDealroom has a profile for this one. Try Dealroom → Markets is the sole placement agent.
The terms: KOIL will sell 1,330,372 common shares at $2.50 each, or pre-funded warrants in lieu of stock priced at $2.499, each exercisable at $0.001. The offering is expected to close on or about October 29.
Why now? The raise lands alongside strong preliminary results. KOIL expects third-quarter revenue of $9.4 million to $10.0 million — up roughly 48% to 57% year over year — with adjusted EBITDA of $0.7 million to $1.2 million.
What's the endgame? KOIL plans to use the proceeds for working capital and general corporate purposes, including investments in rental equipment. "This financing is intended to support the next phase of our growth by allowing us to expand our rental equipment fleet and strengthen our service capabilities," said president and chief executive officer Erik Wiik.
The context: Revenue has climbed fast, rising 56% in the first quarter and 78% in the second, when service revenue jumped 115%. Recent wins include a first subsea umbilical maintenance campaign in Brazil and a large umbilical-handling project.
What could go wrong? KOIL held about $0.6 million in cash at quarter-end, even after securing a $5 million asset-based credit facility earlier this year. Issuing shares or pre-funded warrants will dilute existing holders, and the preliminary results remain unaudited.
The signal: A quick re-raise so soon after a new credit line shows how fast KOIL is burning capital to fund its deepwater expansion — betting that surging demand for subsea services justifies the cost.
