Liverpool's Sutcliffe sold to Venn in buy-and-build push, eyes £10m turnover

What's the deal? Liverpool engineering and surveying consultancy Sutcliffe has been acquired by Venn HoldCo, which is assembling a national group of built-environment consultancies. Chief executive Sean Keyes and the existing management team will continue to run the business day to day.

The details: Founded in 1985, Sutcliffe employs 70 staff and designs around 5,000 homes a year across housing, healthcare, education, and commercial development. It reported £6.5m income in its last financial year and is targeting £10m within three years.

Why now? Sutcliffe turned 40 in 2025 and says client demand keeps growing. "The country needs more homes, better schools and hospitals, and the engineers, surveyors, planners and skilled trades needed to deliver them," Keyes said.

What's the endgame? Sutcliffe will become a cornerstone of Venn's planned national group of multi-disciplinary consultancies. Founder Johannes Huttunen, who has more than 20 years' experience investing in UK businesses, said the firm was "exactly the kind of business Venn was created to back."

Keyes stressed continuity for clients: "We are the same firm, with the same people and the same values." The company plans to retain its culture, local relationships, and staff development, including a pledge to train 40 more engineers and surveyors over the next decade.

The signal: The deal reflects a buy-and-build strategy aimed at consolidating regional built-environment consultancies under one national umbrella — betting that firms combining deep technical expertise with strong local ties are best placed as housing demand, tighter regulation, and energy-efficiency targets reshape the sector.
