Valor Energy raises $5M to fund planned Ohio AI data center

What's the deal? Valor Energy Inc. (Nasdaq: VAI) has raised approximately $5 million through a private placement, selling 2,145,923 common shares at $2.33 each to certain investors. The company plans to use the proceeds to fund its proposed acquisition and conversion of a computing center in Youngstown, Ohio, into an AI data center.

What's the endgame? Valor intends to buy the entity holding the Youngstown facility for $3.6 million, a roughly 30,890-square-foot site at 1911 Logan Avenue. The property carries 18MVA of power capacity under an existing 23kV interconnection with Ohio Edison.

After closing, Valor plans to convert the facility for AI and high-performance computing workloads, funding design, construction, equipment and permitting. The company, formerly an automobile transaction services business, now targets US sites with existing power infrastructure for data center development.

What could go wrong? The acquisition remains subject to due diligence and closing conditions, "and there can be no assurance that it will be completed on the terms described or at all," the company said. The $5 million raise leaves limited capital after the $3.6 million purchase, and Valor has flagged that further funding may be needed.

The site's 18MVA figure also does not equal confirmed usable IT load, leaving actual computing capacity uncertain.

In their words: "We intend to use the proceeds from this financing primarily toward the proposed Youngstown acquisition and the initial stages of its planned conversion into an AI data center," said Dave Nichols, strategic advisor to Valor Energy. Completion, he noted, remains subject to closing conditions and "the availability of sufficient funding."

The signal: Securing power and grid capacity has become the central constraint in AI infrastructure, which makes energised sites valuable. But Valor's modest placement stands in sharp contrast to larger Ohio buildouts, such as the project from SoftBankDealroom has a profile for this one. Try Dealroom →'s SB EnergyDealroom has a profile for this one. Try Dealroom → and OpenAI backed by Nvidia — marking an attempt to enter the sector rather than a comparable operating project.
