Loss-making Alco returns for $2.83M placing, months after US$6.89M raise

What's the deal? Hong Kong-listed Alco HoldingsDealroom has a profile for this one. Try Dealroom → is placing up to 57,278,430 new shares at US$0.05 each to raise about US$2.68M (roughly $2.83 million) in gross proceeds, or US$2.54M net. The price is a 17.7% discount to the stock's October 23 close of US$0.06.

Why now? The placing lands just months after two large rights issues: net proceeds of US$17.4M in 2025 and US$14.7M in 2026. About US$1.09M of the 2026 proceeds remains unused.

What's the endgame? Roughly 81% of net proceeds, about US$2.05M, will fund business development in South America, following distributor agreements in Brazil and Chile announced on October 13. The balance goes to general working capital.

The breakdown: US$1.39M for distribution channels covering logistics, warehousing, parts, training, and repairs; US$423.1K for marketing; and US$241.8K for contingencies.

The fine print: Gaoyu Securities is placing the shares on a best-efforts basis, meaning the funding is not guaranteed. The deal uses a general mandate from the September 30 annual meeting, so it needs no shareholder approval. The long-stop date is November 13.

What could go wrong? The company's annual report cited material uncertainty over its ability to continue as a going concern. FY2026 revenue rose 23% to US$14.9M, but its loss widened to about US$11.7M. The placing would dilute public shareholders from 100% to 83.33%.

The signal: A quick re-raise so soon after much larger rights issues underscores Alco's continuing need for capital. The small, discounted, best-efforts deal makes execution — and proof that the South American expansion can generate returns — the key thing to watch.
