22nd Century Group raises $4.7M, dilutes shareholders in ATM sale
What's the deal? 22nd Century Group sold 15,785,757 common shares in October 2026 through an at-the-market offering, raising roughly $4.7 million in gross proceeds. The reduced-nicotine cigarette maker disclosed the sale in an October 23 filing, conducted under an amended agreement with Needham & Company.
Why now? The company is under pressure. It held $3.9 million in cash at the end of the third quarter, down from $6.1 million a quarter earlier, and had warned of substantial doubt about its ability to continue as a going concern.
What's the endgame? 22nd Century is building a low-nicotine cigarette business around its FDA-authorized VLN brand and value-focused Pinnacle line. The products reach roughly 2,000 US retail outlets, with a target of about 5,000 by year-end 2026.
The same October 23 filing authorises the sale of up to $18.8 million in stock through the ATM program, giving the company room to raise more on a rolling basis. Preliminary third-quarter revenue rose to about $4.8 million from $2.9 million in the prior quarter.
What could go wrong? The raise is notable less for its size than for the dilution it imposes. The 15.8 million shares sold compare with 19.2 million common shares outstanding as of October 23 — a heavy cost to existing holders for a modest cash infusion.
The signal: The offering shows the commercial recovery has not yet freed 22nd Century from its reliance on capital markets. After a preferred-stock financing earlier in 2026, the company continues tapping equity to fund growth — at a steep price to shareholders.
