Caldwell sells IQTalent to WinMil for about $3.36 million

What's the deal? Toronto-based executive search firm Caldwell has sold substantially all the net operating assets of its subsidiary IQTalent Partners to WinMil, Inc. for roughly US$3.45M. WinMil will keep running the business under the IQTalent name.

The terms: The deal breaks down into US$2.35M in cash and 1.45 million Caldwell shares, valued at about US$1.1M, held by WinMil owners David Windley and Tom Milic, both former IQTalent employees. Caldwell has cancelled those shares, cutting its total outstanding by about 4.9%.

Why now? Caldwell bought IQTalent in 2020 to expand into technology-enabled recruiting. Nearly six years on, the firm said the business was not meeting its strategic objectives, and the sale lands after a stretch of softer hiring demand.

IQTalent professional fees fell to US$1.66M in Caldwell's fiscal third quarter, down from US$2M a year earlier, as hiring activity moderated.

What's the endgame? The exit lets Caldwell refocus on executive search and advisory. "Divesting IQTalent enables us to sharpen our focus on what Caldwell does best: delivering elite executive search and advisory services to our clients," said chief executive officer Chris Beck.

The two companies have signed a two-year referral agreement to connect clients across their services. Caldwell keeps a minority stake in recruitment software company HootRecruit, formerly IQRecruit.

The signal: The sale marks a retreat from the broader recruiting model Caldwell pursued in 2020, back toward its core executive search.
