What each side brings: Flerie is a listed life-science investor with a diversified portfolio of private companies, trading on Nasdaq Stockholm under the ticker FLERIE. Biosergen develops BSG005, a drug candidate aimed at becoming a first-line treatment for resistant, hard-to-treat invasive fungal infections.

The terms: Flerie issued 2,667,234 new ordinary shares as merger consideration, lifting its share capital to US$23.8M across 89,364,936 shares. Biosergen holders receive one Flerie share for every 31 shares held, with no action required.

Why now? The registration gives the merger final legal effect. Shareholders on Biosergen's ledger as of October 26, 2026 will receive their new shares on or about October 28. Trading in Flerie's shares continues as usual.

The signal: The deal folds a single-asset fungal-infection programme into a broader life-science holding structure, giving Biosergen's therapy the backing of an active investor built to accelerate private portfolio projects.
