Fundraise

Leader Education raises $9.94M in second discounted placement this year

What's the deal? Hong Kong-listed Leader EducationDealroom has a profile for this one. Try Dealroom → has agreed to place up to 120 million new shares — about 15% of its existing share capital — at US$0.08 each to at least 40 independent investors. The deal, arranged through DL Securities (HK)Dealroom has a profile for this one. Try Dealroom →, aims to raise roughly US$9.43M in net proceeds and is subject to shareholder approval.

Where the money goes: Most of the proceeds, about US$8.02M, are earmarked for AI upgrades and the digital transformation of the group's education and teaching operations. The remainder goes to general working capital.

Why now? The placement comes just months after a similar-sized raise. In August, Leader completed a separate placement of 133 million shares for net proceeds of about US$4.27M, also aimed at digital education initiatives and working capital.

What could go wrong? The shares are priced at a discount of around 17.5% to the latest closing price, and the raise could dilute existing holders. The company says the deal is also designed to broaden its shareholder base and address previously flagged high shareholding concentration.

Leader Education is a Cayman Islands-incorporated company listed in Hong Kong that runs education and teaching businesses, with a market capitalisation of US$82.7M. Completion remains conditional on satisfying agreed preconditions.

The signal: Two discounted placements in quick succession point to modest operational financing rather than a sector-wide AI funding wave. The move also lands amid an ownership shift: in October, ScienjoyDealroom has a profile for this one. Try Dealroom → completed the purchase of a 29.9% stake from a controlling shareholder for about US$12.4M. With funds raised at a discount and dilution on the table, how Leader spends the money will be the detail to watch.
