Everspan sells redundant Rhode Island insurer PWIC to Falvey

What's the deal? Everspan Group has agreed to sell Providence Washington Insurance Company (PWIC), a redundant admitted shell company, to Rhode Island-based Falvey Insurance Group. The deal value was not disclosed. Everspan, a specialty property and casualty platform owned by Octave Specialty Group (NYSE: OSG), acquired PWIC in 2021.

Why now? Everspan frames the sale as part of ongoing efforts to improve operational efficiency. It expects the transaction to lift its tangible book value by about $11 million by cutting operating costs.

What's the endgame? PWIC is a Rhode Island-domiciled insurer and one of five property and casualty companies Everspan owns. The platform operates nationwide on both admitted and non-admitted bases, and shedding a redundant carrier trims overhead without reducing its capabilities.

"This transaction reduces our operating costs without diminishing our capabilities," Everspan President Darwin Lucas said. He added that Falvey "sees meaningful strategic value in its Rhode Island roots, licenses and capabilities."

The transaction is subject to customary closing conditions and regulatory approvals. McDermott Will & SchulteDealroom has a profile for this one. Try Dealroom → served as legal counsel to Everspan.
