S-Bank secures 97.32% of Oma Savings Bank in €571.4M Finnish banking deal

What's the deal? S-Bank has effectively completed its acquisition of fellow Finnish lender Oma Savings Bank, with the preliminary result of the subsequent offer period lifting its stake to about 97.32% of shares and votes. Shareholders tendered a further 162,531 shares — roughly 0.49% — during the period that ran from October 1 to October 22, 2026, at €17.20 per share.

What's the endgame? S-Bank is buying all outstanding shares in the €571.4 million cash takeover and has signalled it will pursue a delisting from Nasdaq Helsinki. Oma Savings Bank serves more than 200,000 personal and corporate customers through 48 branches and digital channels, staffed by roughly 600 employees.

Why now? The outcome was all but settled before the extra window opened. The original offer period, which closed September 25, secured 96.78% of shares — clearing the 90% minimum acceptance threshold and letting S-Bank complete the deal.

S-Bank will confirm the final subsequent-period result on or about October 26, with payment to tendering shareholders expected around November 2.

The signal: The transaction fits a wider wave of Nordic banking consolidation and S-Bank's stated aim to build scale and expand its corporate-banking capacity. With control locked in above 97%, the remaining steps are procedural — a squeeze-out of minority holders and delisting now look like a matter of time.
