Solar marketplace Otovo raises $3 million to fund US listing and M&A
What's the deal? Otovo, a Norwegian solar energy marketplace listed on Euronext Oslo Børs, has raised US$3.38M through a private placement and retail offering. The company allocated 3,500,000 new shares at US$0.97 each. Settlement is expected on or around October 27, 2026.
Where's the money going? Net proceeds will fund strategic acquisitions and M&A opportunities, costs tied to a previously announced plan for a dual listing in the US, and general corporate purposes.
Who's in? Board member George Coyle applied for and was allocated 100,000 offer shares at the offer price. The share issuance was resolved by Otovo's board under an authorization granted at the annual general meeting on May 15, 2026.
Why a private placement? The board said structuring the raise as a private placement and retail offering let it secure capital efficiently, at a lower discount to the trading price and with lower completion risk than a rights issue. It acknowledged the move deviates from existing shareholders' pre-emptive rights but judged the dilution limited and compliant with equal treatment rules.
How it settles The offering will be settled on a delivery-versus-payment basis using existing listed shares, under a share lending agreement with Jackson Leigh Ventures LLC, a company tied to chief executive officer William (John) Berger. Following registration — expected on or around October 29, 2026 — Otovo's share capital will stand at US$1.01M across 83,431,808 shares.
The signal: For a small-cap renewables player, the raise is less about size than direction. By earmarking funds for acquisitions and a US listing, Otovo is signalling it wants to broaden its investor base and consolidate in a fragmented residential solar market.
