Keystone secures $11.6M equity injection tied to bond restructuring
What's the deal? Keystone Academic Solutions, the Oslo-based parent of Keystone Education Group, has received unconditional and binding subscription forms for US$13.1M in new equity. Settlement and payment is expected on October 28, 2026.
Why now? The raise clears a condition tied to Keystone's FRN senior secured bonds due 2029. Implementation of amendments approved by bondholders required at least US$11.5M in new equity by December 31, 2026 — a threshold the subscription comfortably exceeds.
How it unfolded: Keystone initiated a written resolution on September 21, 2026, asking bondholders to approve changes to the bonds' terms. A requisite majority approved the proposals on October 7. With the equity now committed, those amendments will be implemented "as soon as possible," the company said.
The signal: The injection sits in the mid-range for disclosed rounds, ranking around the 53rd percentile by amount. Paired with a bond restructuring, it points to a company shoring up its balance sheet rather than funding expansion — a reminder that late-stage capital often goes toward stabilising obligations, not just growth.
