UK P&I Club and TT Club complete Thomas Miller takeover ahead of 2027 merger

What's the deal? The UK P&I Club and TT Club have completed their joint acquisition of Thomas MillerDealroom has a profile for this one. Try Dealroom → Holdings, their long-standing manager. The deal, made through a special-purpose vehicle called TMH Bidco, won backing from more than 85% of Thomas Miller's shareholders. Terms were not disclosed.

Why now? The acquisition clears the path for a wider merger of the two mutual insurers. Members of both clubs voted overwhelmingly in October to combine, creating United Transport Mutual (UTM), due to take effect on February 20, 2027.

What's the endgame? UTM would be the first transport mutual spanning the entire cargo supply chain, covering maritime, logistics, ports, and terminals. The combined group would hold about $750 million in annual premium income and $888 million in free reserves.

What changes? Bringing Thomas Miller in-house aligns the management business with the member-owned clubs and keeps value that previously flowed to an outside company within the group. For members, the clubs promise continuity of service alongside greater financial strength and deeper specialist resources.

Morten Engelstoft, chairman of TT Club, said taking full ownership would let both clubs operate with "greater alignment and efficiency" and deliver "a more integrated service that puts our Members first."

What could go wrong? The merger still needs regulatory approval. The real test will be whether integration delivers the promised efficiencies without disrupting the personal service members value.

The signal: This is a notable consolidation in mutual marine insurance — not a sector-wide wave of acquisitions. By merging shipowners' P&I cover with transport and logistics risk, the clubs are betting that scale and breadth will sharpen their competitive edge.
