Fundraise

CitroTech raises $5.6M in stock sale to fund next 12 months

What's the deal? CitroTech (NYSE AM: CITR), a specialty chemical company developing fire-inhibitor products, priced an underwritten public offering of 2,240,000 shares at $2.50 each, for gross proceeds of roughly $5.6 million. Univest SecuritiesDealroom has a profile for this one. Try Dealroom → acted as sole book-running manager. The company expected the offering to close on or about October 22, 2026.

What's the company building? CitroTech manufactures environmentally safe fire prevention solutions for homes, wood products, and wildfire mitigation. It says it is the only long-term fire inhibitor recognized by the EPA Safer Choice program and tested to UL Greenguard Gold standards. A 50/50 venture with HexionDealroom has a profile for this one. Try Dealroom → offers a potential route to scale fire-retardant wood products, with commercial revenues anticipated from 2027.

Why now? The raise serves as a near-term liquidity bridge. At June 30, CitroTech reported $2.5 million in cash, $3.8 million of operating cash use in the first half, and a net loss of $10.1 million; its filing said available cash was insufficient to fund the next 12 months. It intends to use the net proceeds for working capital and general corporate purposes.

What could go wrong? The deal comes with meaningful dilution. CitroTech had initially proposed an offering of up to $7 million, but shares priced at $2.50 — well below the preliminary prospectus's $4.27 reference price. The underwriter also holds a 45-day option to buy up to 336,000 additional shares.

The signal: For a company still in early commercialization, this offering matters less as a growth milestone than as a cash lifeline. Execution and sales conversion remain the bigger tests.
