Defence investor OPG rescues Ottawa's Allen-Vanguard out of receivership

What's the deal? Operating Partners Group (OPG), a specialist defence investment firm, has acquired Allen-Vanguard Corporation out of receivership, the companies said in October 2026. The price was undisclosed and sealed by the court.

What each side brings: Ottawa-based Allen-Vanguard builds electronic countermeasures to protect against radio-controlled roadside bombs and drones, with systems such as the vehicle-mounted EQUINOX NG, portable SCORPION, and ANCILE counter-drone products. OPG runs a European electronic warfare portfolio it now plans to link with the Canadian business.

Why now? Allen-Vanguard entered receivership on September 1, 2026, on application from senior secured creditors, with about US$80.3 million in debt owed and declining sales. A sale process begun in August 2023 had failed to produce a buyer before Ontario Superior Court appointed PwCDealroom has a profile for this one. Try Dealroom → as receiver.

How it happened: PwC ran a going-concern sale, with wind-down and liquidation as the fallback. The court sanctioned a transaction on September 25, 2026.

What's the endgame? OPG wants to build on Allen-Vanguard's force protection strengths and push into adjacent areas such as signals intelligence. "Allen-Vanguard is an excellent addition to our electronic warfare portfolio," said OPG managing director Miles Graham, pointing to "a real opportunity to bring IP and capabilities from across our existing businesses to Canada and global markets."

Allen-Vanguard managing director Bobby Strawbridge called it "an unavoidable and difficult receivership process," adding: "I am very encouraged that we have been able to find a positive way forward."

What could go wrong? The deal is principally a rescue, not a growth bet. Allen-Vanguard's business is regulated for controlled goods and export control, and preserving people, technical knowledge, and support arrangements for fielded equipment remains the open question behind any going-concern sale.

The signal: A defence specialist stepping in to salvage a two-decade-old counter-IED and electronic warfare business reflects how heavily consolidation now runs through the sector. For OPG, a distressed Canadian asset is a cheap route to a broader transatlantic platform; for Allen-Vanguard, new ownership keeps the lights on.
