Hengwei's acquisition target founders hit 50% of $8M share-buying pledge
What's the deal? Hengwei TechnologyDealroom has a profile for this one. Try Dealroom → said the founders of Shanghai Shuheng Information TechnologyDealroom has a profile for this one. Try Dealroom →, which it acquired, have bought about $5,676.07万 — around $7.9 million — worth of Hengwei shares, hitting half of a pledged US$15.1M commitment.
What's the context? Hengwei acquired 51% of Shuheng in June for roughly US$64.2M, taking control to bolster its enterprise AI model and application capabilities. The deal's industrial and commercial registration is now complete, making Shuheng a controlled subsidiary.
Why the share buying? Under the investment agreement, Shuheng founders Zhang Jisheng, Xie Xinyu, Zhu Linyun, and Lu Yuan pledged to buy at least US$15.1M of Hengwei stock within six months of receiving their second-stage transfer payment.
As of October 21, 2026, they had bought 2.5903 million shares — 0.8089% of Hengwei's total equity. Hengwei said it will pay the third transfer instalment as agreed, and the founders will keep buying until the pledged amount is met.
Why it matters? The structure partly ties the sellers' interests to post-deal performance. Sellers have guaranteed combined net profit of no less than US$38.8M across 2026 to 2028.
What could go wrong? Hitting the share-buying milestone is not the same as meeting those profit targets. The open question is whether Shuheng can deliver rising annual profits, and whether integration translates into real growth for Hengwei.
The signal: AI capability is a clear driver of tech dealmaking. PwCDealroom has a profile for this one. Try Dealroom → said China's M&A deal volume rose nearly 30% year on year in the first half of 2026, with technology and AI among the most active areas.
