SOCAR Türkiye closes $1.6B five-year refinancing at SOFR+2.30%

What's the deal? SOCAR Türkiye, a unit of Azerbaijan's state oil company, has closed a $1.6 billion syndicated five-year loan to refinance existing debt. First Abu Dhabi BankDealroom has a profile for this one. Try Dealroom → and Japan's MizuhoDealroom has a profile for this one. Try Dealroom → Bank led the facility, which is guaranteed by parent SOCAR.

The terms: The loan is priced at SOFR plus 230 basis points and carries a five-year maturity. The company says it secures a lower borrowing cost and longer tenor than its previous credit lines, though it has not disclosed the old pricing, so the saving cannot be quantified.

Why now? The deal refinances existing liabilities rather than funding new investment. It adds no fresh debt to the parent and extends SOCAR Türkiye's runway during what chairman Rovshan Najaf called "a period of ongoing global market uncertainty."

The demand: The facility drew 22 commercial banks across Europe, East Asia, and the Middle East, with bids reaching 1.8 times the original target. Najaf said the response was "a clear sign of deep confidence in SOCAR Türkiye."

For context: SOCAR Türkiye operates the Star Refinery, launched in 2018 with a capacity of 13 million tonnes a year. In 2021, it raised a $1.3 billion five-year syndicated loan priced at Libor/Euribor plus 345 basis points — making the new facility both larger and cheaper. It also comes as SOCAR weighs a possible $5–7 billion expansion of its Turkish petrochemical operations, though this loan is not tied to that project.

The signal: At $1.6 billion, this ranks among the largest energy debt deals in its peer set. The pricing and oversubscription show international lenders remain willing to back state-linked Turkish borrowers on improving terms.
