What's the endgame? TEAM, a wealth and asset management group listed on the London Stock Exchange, is building a broader wealth management business that combines financial advice and investment management. The acquisition expands its UK footprint, particularly in the North West.

The numbers: As at August 31, 2026, Hedley & Co held £383 million of assets under control, including £173 million of funds under management. For the year ended August 31, 2025, it reported audited revenues of about £2.1 million, profit before tax of £0.60 million, and net assets of £0.77 million.

The terms: TEAM will pay £1.5 million at completion — £1 million in cash and £500,000 in shares — with a further £1.5 million deferred over 23 months. Deferred cash may adjust with revenue targets, capping total deferred consideration at £1.675 million, while additional contingent consideration tied to EBITDA targets is capped at £2 million.

Why now? TEAM expects the deal to accelerate its move to sustained month-on-month profitability, which it calls "an important milestone for the Group." Completion is subject to approval from the Financial Conduct Authority, with a long-stop date of March 31, 2027.

What they said: "This is an important acquisition for TEAM," said executive chairman Mark Clubb. "Hedley & Co is a consistently profitable and extremely well-managed business," adding that the group aims to grow "by combining good businesses with our existing capabilities, while allowing the people who built those businesses to remain an important part of their future."

The signal: The deal reflects continued consolidation among UK wealth managers, where established firms with loyal client bases and clean compliance records make attractive targets for scaleups chasing profitability. For TEAM, bolt-on acquisitions remain the engine of growth.
