INLIF prices $3.75M direct offering, its third raise in months

What's the deal? INLIF Limited, a Nasdaq-listed maker of manipulator arms for injection molding machines, has priced a $3.75 million registered direct offering. The Quanzhou, China-based company agreed to sell 435,000 Class A ordinary shares plus a stack of pre-funded and Series A, B, and C warrants to institutional investors.

Shares and pre-funded warrants are priced at $1.60 each, with accompanying warrants attached. The deal is expected to close on or about October 20, 2026.

Who's involved? Maxim Group LLCDealroom has a profile for this one. Try Dealroom → is acting as sole placement agent. The offering runs under a Form F-3 registration statement declared effective by the US Securities and Exchange Commission in January 2026.

Why now? The raise follows a busy year of fundraising. INLIF reported $32.34 million in net PIPE proceeds and $21.15 million from an at-the-market share program, which it closed in September after issuing roughly 981,000 post-consolidation Class A shares.

What could go wrong? This smaller raise, landing soon after those larger financings, adds to dilution concerns. The warrant structure includes a downward exercise price reset 20 trading days after closing and Series C warrants that adjust based on price — mechanisms that can expand the share count further.

What's the endgame? INLIF has been pushing a strategic shift toward new-energy equipment and robotics. The open question for investors is whether fresh capital can fund execution; the offering alone does not answer that.

The signal: For small-cap issuers, repeated equity raises keep the lights on but test shareholder patience. INLIF is tapping markets again at $1.60 a share, and the frequency — not the size — is what sets the tone.
