Green Rise Foods to go private in US$15M insider buyout

What's the deal? Green Rise Foods (TSX-V: GRF) has agreed to be acquired by Pereira Verde Inc., an entity controlled by two of the Toronto company's insiders, in an all-cash deal valuing its equity at about US$15M (roughly $14.5 million). Shareholders will receive US$0.32 per share, subject to a small adjustment tied to working capital.

Who's buying? Pereira Verde is owned by Vincent Narang, a director and co-founder, and George Hatzoglou, the company's chief financial and operating officer. The pair will buy all shares not already held by them or their associates, taking the greenhouse operator private.

What's the price? The offer is a 16.2% premium to the stock's October 16 close and a 79.2% premium to the price on May 1, the day before Green Rise launched its strategic review. Including net debt, the deal values the company at about $61 million.

Why now? Green Rise started the review in May after breaching financial covenants and seeking lender relief. By August, it had fielded multiple non-binding proposals and taken a US$1.16M secured loan from Opus to fund operations and the process. The buyout comes alongside a fresh US$880K bridge loan.

What's next? A special committee of independent directors unanimously recommended the deal and obtained a fairness opinion from Blair Franklin Capital PartnersDealroom has a profile for this one. What the board says: The review aimed to pursue alternatives "with the goal of maximizing shareholder value and liquidity," said board chair and interim chief executive officer Enrico Paolone, adding that a sale to buyers with "deep knowledge of the Company and its business will allow the Company to continue its growth."

The signal: The deal is the outcome of a liquidity-driven sale process, not sector consolidation.
