Blaqclouds takes control of NXGen Brands, clears $375K debt

What's the deal? BlaqcloudsDealroom has a profile for this one. Try Dealroom → (OTC: BCDS) has bought the controlling share block of NXGen BrandsDealroom has a profile for this one. Try Dealroom → (OTC: NXGB) from Marjorie Schaefer, taking over 2,178,000,000 common shares and 1,000,000 preferred shares. NXGen says its total outstanding debt is now zero, and new management has retired one billion common shares. The two are over-the-counter traded companies based in Las Vegas.

Why now? The buyout marks the latest phase of NXGen's "Operation Cleanup," its push to address legacy obligations and tidy up its capital structure.

How the debt disappeared: Blaqclouds acquired all of NXGen's outstanding convertible debt — $375,000 owed to attorney Vic Devlaeminck, P.C. — then forgave it. NXGen also terminated older obligations tied to instruments dated in 2020 and 2021. The share retirement cut NXGen's issued and outstanding common shares from 3,341,779,566 to 2,341,779,566.

New leadership: NXGen named Dr. Todd Zang chief executive officer. Zang, a Nevada podiatrist, succeeds interim CEO Shannon Hill, who moves to NXGen's board and becomes CEO of Blaqclouds. Zang will keep his seat on the Blaqclouds board while leading NXGen, focusing on building a sales team and defined revenue channels.

What's the endgame? NXGen is finalising the acquisition of a Blaqclouds subsidiary tied to Blaqclouds' "Four Pillars" strategy, which spans blockchain, payments, and related businesses. It expects to close that deal on October 21, 2026, and will share terms then.

What could go wrong? The announcement does not show that NXGen's initiatives are generating material revenue, and the subsidiary acquisition was still pending. Its significance rests on follow-through in company filings, given the firms' OTC status and NXGen's remaining 2.34 billion shares.

The signal: This is a control-and-restructuring play more than a traditional acquisition — clearing debt and shrinking the share count to hand NXGen a cleaner balance sheet and a new strategic parent. Whether that foundation turns into real commercial momentum remains to be proven.
