SG Fleet strikes $788M cash buyout of rival FleetPartners

What's the deal? FleetPartnersDealroom has a profile for this one. Try Dealroom → has agreed to a binding all-cash takeover by SG Fleet Management at US$3.43 per share, valuing the Australian vehicle-leasing company at about US$731.2M (roughly $788 million). SG Fleet, owned by Pacific Equity PartnersDealroom has a profile for this one. Try Dealroom →, will acquire 100% of FleetPartners through a scheme of arrangement.

Why now? The agreement ends a months-long auction. SG Fleet, Toronto-listed Element Fleet ManagementDealroom has a profile for this one. Try Dealroom →, Tokyo-listed ORIXDealroom has a profile for this one. Try Dealroom → and a SumitomoDealroom has a profile for this one. Try Dealroom →-led consortium all pursued FleetPartners, which runs fleet management and vehicle leasing across Australia and New Zealand.

The numbers: The offer is an 87.3% premium to FleetPartners' last undisturbed closing price of US$1.83 on July 31, the day before SG Fleet's first approach. It also adds US$0.42 per share to the leading revised proposals received on September 14. The deed permits an FY26 final dividend of up to US$0.09 and a special dividend of up to US$0.08, letting eligible shareholders benefit from attached franking credits.

What's the endgame? SG Fleet gains scale in a consolidating market. "FleetPartners is a highly respected business with a well-established market presence, an experienced team and a customer base and product offer," said SG Fleet chief executive officer Robbie Blau.

What could go wrong? The scheme still needs shareholder, court and regulatory approvals, plus an independent expert finding it in shareholders' best interests. The FleetPartners board unanimously recommends the deal in the absence of a superior proposal.

The signal: The competitive process — four strategic bidders and a final price well above earlier offers — shows strong appetite for fleet-management platforms and reflects wider consolidation sweeping the sector.
