Klevo raises $902,000 in loyalty options offer, 42% take-up
What's the deal? Klevo Group (ASX: KLV), an Australian fintech, raised US$840K (around $902,000) through a pro rata non-renounceable entitlement issue it calls the Loyalty Options Offer. The offer closed on September 25, 2026, with 146 valid applications from eligible shareholders.
How it worked: Shareholders could subscribe for seven Loyalty Options for every eight shares held, at $0.022 per option. Each option is exercisable at $1.00 and expires 12 months after issue.
The take-up: Shareholders subscribed for 59,010,895 options — about 41.8% of the 141,236,128 offered. All of Klevo's directors took up their full entitlements.
What's the money for? Klevo will direct proceeds mainly to technology development for its credit capabilities, the international expansion of its Mastercard Program, and offer costs. Because the offer was not fully subscribed and was not underwritten, the company will scale back spending on the Mastercard expansion, as flagged in the prospectus.
Entitlements not taken up have lapsed, and no shortfall offer was made. The options are set to be issued on October 2, 2026, and will not be quoted on the ASX. They remain exercisable at $1.00 until expiry on October 2, 2027.
The signal: Full director participation signals internal confidence, but a sub-50% take-up on an unlisted, $1.00-strike option leaves Klevo trimming its growth ambitions and leaning on existing shareholders rather than fresh capital to fund its credit push.
