What's the deal? Zen TechnologiesDealroom has a profile for this one. Try Dealroom → will acquire a 51.98% stake in Bengaluru-based Cogknit SemanticsDealroom has a profile for this one. Try Dealroom → for cash of up to US$18.4M (roughly $14.2 million, FX-converted). The board approved the deal on October 17, 2026, and Cogknit will become a Zen subsidiary once completed.

How is it structured? Zen is buying equity shares from an existing shareholder and subscribing to Series A Compulsorily Convertible Cumulative Preference Shares at US$366.9 per share. The agreement gives Zen the right to nominate a majority of directors. Completion is expected by December 13, 2026.

What's the endgame? Cogknit, incorporated in 2009, builds artificial intelligence-based battlefield management and situational-awareness systems for the armed forces. The purchase extends Zen's defence portfolio — which spans training, simulation, and anti-drone technologies — into battlefield management.

What about the numbers? Cogknit's turnover has fluctuated sharply: US$304.2K in FY 2023-24, US$105.9K in FY 2024-25, and just US$65.2K in FY 2025-26. The deal is a bet on technology and capability rather than current revenue.

Why now? The transaction requires no governmental or regulatory approvals and is not a related-party deal, clearing the path to a quick close. It arrives as India pushes to build homegrown defence technology.

The signal: Established defence contractors are buying their way into AI by absorbing small, specialised startups. For Zen, a modest outlay secures control of a niche capability it would otherwise take years to build in-house.
