Austco to buy monitoring software firm RTM in $10.6M deal

What's the deal? Austco HealthcareDealroom has a profile for this one. Try Dealroom →, trading as Azure HealthcareDealroom has a profile for this one. Try Dealroom →, has signed a binding agreement to acquire Brisbane-based Real Time Monitoring (RTM) SolutionsDealroom has a profile for this one. Try Dealroom → for about US$9.87M (≈$10.6 million) in cash. The deal buys all shares of RTM's parent, giving Austco control of a real-time monitoring and systems-integration business serving healthcare and aged care facilities.

How is it structured? Austco will pay roughly US$6.11M upfront, with US$1.94M held in escrow pending renewal of a key customer contract. An uncapped, performance-based earnout worth about US$3.77M will be calculated at 6.0x RTM's average EBITDA for FY27 and FY28, payable around 30 days after Austco's audited FY28 accounts.

Why RTM? Founded in 2012, RTM runs a cloud-based, vendor-neutral platform that monitors connected systems — nurse call, duress, access control, CCTV, and building management — across more than 600 sites in Australia. It integrates with over 300 systems, including Austco's own Tacera platform, extending Austco's reach into monitoring and integration.

By the numbers: RTM reported unaudited normalised revenue of about US$10.1M and normalised EBITDA of roughly US$1.42M for the 12 months to June 2026, a margin near 14.1%. For FY27, it is expected to add about US$5.89M in revenue and US$841.2K in EBITDA over seven months of ownership, and the deal should be immediately accretive to earnings per share.

How is it funded? The acquisition will draw on Austco's cash reserves and a new US$7.76M loan facility from the Commonwealth Bank of AustraliaDealroom has a profile for this one. Try Dealroom →, with no new shares issued. After completing both RTM and a concurrent purchase of CareTech SystemsDealroom has a profile for this one. Try Dealroom →, Austco expects to hold about US$4.98M in cash plus US$3.24M in undrawn facilities.

What's next? Completion is targeted for around December 1, 2026, subject to conditions — including the CareTech acquisition closing. RTM will continue as a standalone entity within Austco's Australian operations through the earnout period ending June 30, 2028.

What could go wrong? The US$1.94M escrow hinges on renewing a key customer contract for at least 12 months. If it renews at a lower value or not at all, part or all of the escrow returns to Austco, cutting the purchase price.

The signal: By pairing RTM with CareTech, Austco is consolidating healthcare monitoring and integration software under one roof — betting that owning the layer connecting disparate facility systems is more valuable than selling into it.
