The terms: CCC stockholders will receive $7.75 in cash per share. That marks a roughly 44% premium to CCC's unaffected closing price on July 9, 2026 — the last trading day before media speculation about a sale — and a 59% premium to the 30-day average at that date.

What CCC does: The company connects more than 35,000 businesses across the insurance economy. It draws on 40 years of industry data and more than a decade of AI embedded in claims and repair workflows.

Why now? GTCR and Elliott are betting on AI adoption across the insurance and repair sector. "CCC is uniquely positioned to support their customers as they increasingly adopt AI solutions to improve decision making and efficiency across the claims and repair lifecycle," said Mark Anderson, GTCR's head of technology, media and telecommunications.

What's the endgame? The buyers plan to fund more product and AI investment and expand CCC's network. Chairman and CEO Githesh Ramamurthy said the firms' resources will help "accelerate the AI and agentic capabilities our customers want from us."

What changes: CCC remains publicly traded and operates independently until close, expected in the first quarter of 2027. The deal needs regulatory and stockholder approval but has no financing condition. Afterward, CCC becomes privately held.

The signal: Elliott framed CCC as "a highly durable franchise in vertical software — which AI will only make more valuable." The deal reflects private equity's appetite for data-rich software businesses positioned to turn industry-specific AI into recurring revenue.
