Try Dealroom →, a Finnish bidco acting for an eight-member consortium, has concluded its public cash tender offer for Aino Health AB, securing roughly 84.2% of the Swedish company's shares and votes. The offer priced shares at US$0.02 each in cash. Aino Health is listed on Nasdaq First North Growth MarketDealroom has a profile for this one. Try Dealroom → in Sweden.

How did it play out? The consortium announced the recommended offer on June 30, 2026, initially conditioned on reaching more than 90% acceptance on a fully diluted basis. On August 11, BidCo waived that threshold and declared the offer unconditional, then extended the acceptance period twice.

The final tally: As of October 13, holders of 5,686,788 shares — 2.8% of the total — accepted during the extended period. Combined with the 166,490,157 shares BidCo already held, the consortium now controls 172,176,945 shares.

BidCo will not extend the acceptance period further, concluding the offer. Payment for shares tendered during the extended period is expected to begin on or around October 21, 2026.

What's next? BidCo has reserved the right to buy more shares, including in the market at prevailing prices or through privately negotiated transactions. Any such acquisitions would be disclosed under applicable takeover rules.

The signal: Waiving a 90% acceptance condition and settling at 84.2% suggests the consortium prioritised control over a clean squeeze-out. With Marc Josefsson, chief executive officer of HealthCo, among the named backers, the deal consolidates insider ownership of the small-cap health firm rather than clearing the way for an immediate delisting.
