Agilent to buy digital pathology firm Proscia for $240M

What's the deal? Agilent TechnologiesDealroom has a profile for this one. Try Dealroom → will acquire Proscia, a digital pathology software provider, in an all-cash deal valued at $240 million, plus up to $30 million more tied to performance milestones. Proscia's platform connects slide scanners, lab systems, image-analysis apps, and AI tools in one environment for clinical and life-sciences customers.

The numbers: Proscia serves more than 4,000 laboratories, hospitals, and clinics, along with 16 of the top 20 pharmaceutical companies. Its trailing twelve-month revenue exceeds $18 million.

Why now? The two companies have worked together since September 2022 under a multi-year distribution agreement for a digital diagnostic-pathology system. The acquisition builds on that partnership and follows Agilent's recent purchase of Biocare Medical.

What's the endgame? Agilent wants to pair its pathology instruments and reagents with Proscia's vendor-agnostic software to build what it calls a platform for "scientific intelligence in tissue-based precision medicine." The goal: connect data generation with AI-based interpretation across biomarker research and routine clinical use.

"Digital pathology is quickly becoming the foundation for pathology data generation, analysis, and application," said Agilent president and chief executive officer Padraig McDonnell, adding that the deal "meaningfully expands our presence in this fast-growing market."

Proscia co-founder and chief executive officer David West said Agilent "shares our vision for advancing pathology through open, digital, and AI-enabled solutions."

The signal: Agilent is betting on consolidation in the roughly $5 billion pathology market, stacking software onto its hardware to own more of the workflow. As labs digitise and lean on AI to interpret tissue data, instrument makers are moving to control the operating layer that ties it all together.
