Origin Agritech closes $2.8M private placement with no warrants, no fees

What's the deal? Origin AgritechDealroom has a profile for this one. Try Dealroom → (NASDAQ: SEED), a Chinese agricultural technology company, said it has received the full $2.8 million from a private placement of 2,000,000 ordinary shares at $1.40 per share. Two individual investors and one investment company bought the shares under three Securities Purchase Agreements dated February 1, 2026. The placement carried no warrants and no placement agent fees.

What's the endgame? Proceeds will fund general working capital, research and development, and debt repayment ahead of the company's fiscal 2027 commercialization programs. Origin, founded in 1997 and based in Beijing, breeds crop seeds with traits including glyphosate tolerance and pest resistance; its phytase corn was the first transgenic corn to receive a Biosafety Certificate from China's Ministry of Agriculture.

Why now? The raise follows Origin's recent sale of its subsidiary, Xinjiang OriginboDealroom has a profile for this one. Try Dealroom →, and a leaseback of that seed production facility. The arrangement keeps the company's production capacity and main personnel in place.

By the numbers: Origin had 12,144,586 ordinary shares outstanding before the issuance and 14,144,586 after. The board approved the deal on December 12, 2025.

"We raised this capital at US$1.40 per share with no warrants and no intermediaries taking a cut, so nearly every dollar goes to work," said chief executive officer Weibin Yan. He added that the funds back "the breeding and trait programs in our commercial pipeline and the working capital to bring those varieties to market."

The signal: The structure — no warrants, no agent fees — means nearly all of the $2.8 million flows to the business, a step up in capital efficiency that leaves Origin more resources to fund its 2027 commercialization push.
