Ascend Sport to list in Zurich via $625M Evonext merger

What's the deal? Swiss sports technology company Ascend Sport TechnologyDealroom has a profile for this one. Try Dealroom → plans to list on the Swiss stock exchange by merging with EvonextDealroom has a profile for this one. Try Dealroom →, the shell company of former biotech firm Evolva. The two signed a merger agreement announced on Monday, valuing Ascend at US$458.3M.

What does Ascend do? The Kriens-based firm builds digital advertising technology for professional sports. Its tools can virtually replace perimeter advertising during soccer broadcasts, letting different countries see different ads.

How it works: The merger lets Ascend go public without a traditional initial public offering, using Evonext's existing listing. Evonext shares are priced at US$2.29 each.

Why now? A stock offering is planned alongside the merger to raise fresh capital for growth. Evonext confirmed the talks in August; in late September, it warned it might face liquidation if the deal failed and no alternatives emerged.

What's next? The merger is expected to close in the fourth quarter of 2026, pending approval from shareholders of both companies.

The signal: The deal shows how shell companies offer startups a faster route to public markets than a conventional IPO — here giving a defunct biotech firm new life as a sports-tech vehicle.
