Who's who? Capsoil develops Liposoll, a patented liposomal delivery technology that converts oils and hard-to-absorb actives into water-soluble powders. Red Mesa brings a 55,000-square-foot plant that runs 24/7, certified to ISO 9001:2015 and operating to cGMP and FDA standards for dietary supplement and food manufacturing.

What's the rationale? The deal gives Capsoil US manufacturing capacity it controls end to end, plus Red Mesa's 60-plus engineers, chemists, and operators running industrial-scale extraction, distillation, and refinement. It follows Capsoil's recent expansion of R&D and manufacturing in Israel.

What changes for customers? Red Mesa customers face no disruption, as the team, certifications, and supply commitments stay in place; they also gain access to Liposoll. Capsoil customers get shorter supply chains and reduced lead times.

Why now? Capsoil is responding to rising global demand for Liposoll ingredients across the nutraceutical, cosmetic, cannabinoid, and functional food and beverage industries. More than 500 customers worldwide already use the technology.

What's the endgame? "Health and wellness brands come to us to build what's next, and they need reliable and predictable ingredients at scale," said Rick Cytrynbaum, president of Capsoil Technologies. "With Capsoil Red Mesa, we deliver that from a U.S. facility we control end to end."

The signal: By acquiring a refiner rather than expanding volume, Capsoil is betting that absorption and formulation — not raw output — are where functional ingredients compete next. Controlling the chain from raw-material refining to finished ingredient lets it pitch brands a single partner where they once coordinated several.
