FibroBiologics raises $1.2M via convertible debenture from Peak One

What's the deal? FibroBiologics, a Nasdaq-listed biotech, closed a private placement on October 8, 2026, issuing a $1,200,000 convertible debenture to Peak One Opportunity Fund, L.P. The company also issued 125,000 restricted shares as commitment shares to Peak One and its designee.

The terms: Peak One paid $1,020,000 for the debenture, a 15% original issue discount. It carries 0% interest under normal conditions and matures on October 8, 2027. FibroBiologics also paid a $20,000 non-accountable fee covering Peak One's legal, accounting, and transactional costs.

The fine print: Conversion is only permitted after an event of default, at a fixed $0.78 per share. On default, Peak One may raise the rate to the lesser of 18% per annum or the legal maximum, and accelerate the debt at 120% of principal plus accrued interest.

Why it matters: The company faces a structured repayment schedule — $1,080,000 due April 8, 2027, then $60,000 payments in July and at maturity. It also agreed to use 50% of cash proceeds exceeding $1,500,000 from any source to repay the debenture.

What could go wrong? Under Nasdaq rules, FibroBiologics cannot issue more than 1,671,094 shares under the deal without stockholder approval. Peak One and its affiliates are capped at 4.99% beneficial ownership of outstanding stock.

The signal: For a small-cap biotech, a discounted convertible debenture with no interest but steep default terms reflects the financing options available to companies that need near-term capital without diluting heavily upfront. The structure favours the lender if the company stumbles, placing the burden on FibroBiologics to meet its repayment milestones.
