HTBA buys US delivery-tech firm Specnova in first-ever acquisition
What's the deal? HealthTech Bio Actives (HTBA)Dealroom has a profile for this one. Try Dealroom → has acquired SpecnovaDealroom has a profile for this one. Try Dealroom →, a US biotech company specialising in patented, clinically validated ingredient delivery technologies. The deal — HTBA's first acquisition — gives it a route into the US market. Financial terms were not disclosed.
What does Specnova do? Founded in 2017, Specnova builds systems to improve the bioavailability, bioefficacy, and sustained release of plant-based actives, vitamins, minerals, amino acids, and peptides. Its LipoVantage platform uses liposomes to protect active ingredients through digestion, while NovaQSpheres uses multilayered beadlets for controlled release of multiple actives.
What's the endgame? HTBA, which makes citrus flavonoids and active forms of vitamin B12, plans to pair Specnova's delivery systems with its own portfolio to improve product performance and differentiate formats. Both companies will keep operating independently while collaborating on ingredient solutions for the supplement, food, and beverage industries.
What's in it for Specnova? The deal opens access to HTBA's global commercial network beyond North America. "What changes is the scope of what we are able to offer, both to our existing customers in North America and to customers in markets where HTBA is already established," says founder and chief executive officer Sebastian Balcombe.
Why now? HTBA chief executive officer Alexandre Valls-Coma calls the acquisition a "natural fit" that adds technologies complementing its existing lineup. Both firms will exhibit at SupplySide Global 2026 in Las Vegas, US (October 28–30), where HTBA will mark the US launch of Leanara, a companion ingredient for consumers on GLP-1 medications that combines bioflavonoids with vitamin B12 to help preserve muscle mass during weight loss.
The signal: The acquisition reflects a push among ingredient makers to own delivery science, not just the actives themselves. For HTBA, buying proven technology is a faster path into the US than building it — and a bet that formulation performance is becoming the real battleground in functional nutrition.
