Warren Equity buys VDA, ending Keystone's five-year elevator bet

Try Dealroom →, a national provider of elevator and escalator inspection, program management, and design consulting, from Keystone Capital ManagementDealroom has a profile for this one. What each side brings: VDA runs vertical transportation services across a building's life cycle — design, inspections, modernizations, and maintenance evaluations — for real estate firms, asset owners, and multi-site operators. Founded in 1980, it employs roughly 600 professionals across the US, Canada, and the UK.

Why now? Keystone invested in VDA in 2021 and built it into a market leader over five years. That growth came through organic expansion and more than 20 acquisitions during the partnership.

CEO Gavin Campbell and his management team will continue to lead the company.

What's the rationale? Warren Equity invests in companies providing mission-critical products and services that support infrastructure and the built environment — a clean fit for VDA's inspection and advisory work.

"Over the past three years, VDA has grown into the clear leader in the vertical transportation space, and Keystone has been an incredibly supportive partner during that time," Campbell said.

The signal: The deal is a textbook private equity handoff — one sponsor exits a buy-and-build platform to another positioned to fund the next leg of growth. For a fragmented inspection market consolidated through dozens of bolt-on deals, it signals that specialist built-environment services remain in demand among infrastructure-focused buyers.
