Zhongxian Zhineng to buy precious-metals firm Jianzhi for $6.63M

What's the deal? Hong Kong-listed Zhongxian Zhineng Qijia Holdings (08395.HK) agreed on October 5, 2026 to acquire the entire issued share capital of Jianzhi Holdings GroupDealroom has a profile for this one. Try Dealroom → for US$6.29M, payable in cash. The buyer is Qi-House Investment Group Limited, a direct wholly owned subsidiary of the listed company.

The structure: The US$6.29M price comprises US$1.21K for the sale shares and US$6.28M for an assigned shareholder loan. The target, incorporated in Hong Kong in December 2025, is an investment holding company.

What's it buying? Through the deal, Zhongxian Zhineng gains exposure to precious-metals trading. The target holds 55% of Zhang's Precious Metals, which in turn holds a 49% stake in Hongxin via a wholly owned subsidiary.

Why now? The acquisition follows a joint venture arrangement under which trading firm CGT agreed to move its clients and its Chinese Gold and Silver Exchange membership to Zhang's Precious Metals. That membership — formerly CGT's — has already been transferred.

How it's funded: Alongside the deal, Zhongxian Zhineng entered a placing agreement to issue up to 100 million new shares at US$0.18 each, about 5.63% of existing shares. Maximum net proceeds of roughly US$17.9M would mainly fund about US$6.5M of consideration for this and a related acquisition, plus about US$2.42M in working capital.

The signal: The transaction marks a listed Hong Kong company pushing into precious-metals trading, using a fresh equity placement to finance a bolt-on acquisition and secure access to an established exchange membership and client base.
