Try Dealroom →, creating a larger listed residential group with a US$5.68B portfolio. The all-equity deal prompted Fitch Ratings to upgrade Sveafastigheter's Long-Term Issuer Default Rating and senior unsecured debt rating to BBB from BBB-, with a stable outlook.

Why now? The upgrade follows the merger's completion and recent moves to extend debt maturities. Sveafastigheter refinanced secured bank debt due in 2027 and issued a €350 million unsecured bond in August 2026, pushing average debt maturity above four years from 2.5 years in the second quarter.

What's the endgame? The combined residential-for-rent portfolio stays focused on Swedish cities with high tenant demand, though exposure to smaller cities rises. Fitch says the broader footprint improves diversification and scale, with cost savings expected mainly in central administration.

By the numbers: Like-for-like rental growth hit 4.7% in the second quarter of 2026, aided by CPI-linked rent negotiations and lower vacancy. Fitch forecasts leverage to ease to 13.4x net debt to EBITDA by 2028, from about 14x in 2027, helped by rental growth and asset disposals.

Try Dealroom → remains the largest shareholder at 58.9%, though ringfencing provisions — including limits on board representation and tighter covenants on restricted payments — stay in place.

The signal: The deal marks further consolidation in Sweden's residential rental market, where scale and longer debt maturities are becoming key to defending credit standing. For Sveafastigheter, the merger turns renovation potential into an opportunity: 73% of KlaraBo's apartments remain unupgraded, versus 60% for its own stock.
