Hyperscale Data affiliate takes on $21M in new secured debt

What's the deal? Ault & CompanyDealroom has a profile for this one. Try Dealroom →, an affiliate of Hyperscale DataDealroom has a profile for this one. Try Dealroom → (NYSE: GPUS), has borrowed an additional $21 million in new secured financing from lenders JGB Capital, JGB Partners, JGB (Cayman) Buckeye, and Deepdale Investors. The loan came via an amendment to Hyperscale's existing Loan and Guaranty Agreement, disclosed on September 29, 2026.

The fine print: The financing carries an aggregate note amount of $22,580,645, reflecting $1,580,645 of original issue discount against the $21 million of actual availability. The amendment also extended the maturity on all loans under the agreement to December 14, 2027.

What's the money for? The proceeds are being routed through a segregated account to fund a loan from Ault & Co. to Rockwell One Holdings, covering what Rockwell owes an existing lender on a manufacturing facility in LaGrange, Georgia. In return, Ault & Co. gains a first-priority security interest in the property, where an affiliate manufactures firearms under the Remington name.

Who's on the hook? Hyperscale's subsidiaries agreed to guarantee repayment, alongside executive chairman and chief executive officer Milton C. Ault, III, and Scott Soura, whose liability is capped at $22.5 million. The debt is collateralised by company assets including property mortgages, aircraft, and the segregated account.

What could go wrong? Because the loan is secured, those assets are encumbered and could rank ahead of equity holders in a downside scenario. The extension removes near-term refinancing pressure but does not reduce the total obligation; outstanding principal rises to roughly $62 million.

The signal: The deal sits in the smaller half of financings tracked, ranking around the 40th percentile by size. It underscores how Hyperscale is layering secured, guaranteed debt against its own assets to fund affiliate transactions rather than tapping equity markets.
