Why now? The aerospace components maker will use most of the proceeds to repurchase $2.1 billion of outstanding 6.75% Senior Secured Notes due 2028, through a concurrent tender offer launched on September 14, 2026. Remaining funds are earmarked for general corporate purposes.

The mechanics: The Notes were issued in a private placement to qualified institutional buyers under Rule 144A and to non-US persons under Regulation S. Interest accrues from September 28, 2026, payable semiannually starting January 31, 2027.

Who's involved? The Notes are guaranteed by TransDigm Group and qualifying restricted subsidiaries, ranking equally with existing senior debt. The fine print: The Indenture restricts the issuer and certain subsidiaries from incurring additional debt, paying distributions, and completing specific asset sales or mergers. Holders of at least 25% of outstanding principal may declare the Notes immediately due upon a continuing event of default. The filing was signed by chief financial officer Sarah Wynne.

The signal: The raise sits in the top 3% of post-IPO debt deals for its sector and geography, out of 91 comparable rounds — a large refinancing that extends TransDigm's maturity profile by seven years at the same 6.75% coupon.
